This Affiliate Agreement (hereinafter referred to as the “Agreement”) is a legally binding public offer by Medialister Inc., a Delaware corporation located at 3602, 1007 N Orange St. 4th Floor, Wilmington, DE, New Castle, US, 19801 (hereinafter — the “Company”), to any individual or legal entity (hereinafter — the “Affiliate”) wishing to participate in the Company’s affiliate program.
By registering in the program and using an affiliate link, the Affiliate agrees to be legally bound by the terms of this Agreement.
1.1. The Company grants the Affiliate the non-exclusive, non-transferable, revocable right to promote the Medialister platform (https://medialister.com) and earn commissions on qualified purchases made by referred users.
1.2. The Affiliate shall receive compensation for successfully delivered and paid-for services (specifically, media article placements) purchased by customers referred via their unique affiliate link.
2.1. The standard commission rate is 10% of the gross amount (before taxes or fees) of each qualified, paid, and fulfilled transaction.
2.2. Cookie Duration: A 30-day cookie window applies. This means a user who clicks on the affiliate’s unique tracking link and makes a purchase within 30 calendar days is attributed to the Affiliate.
2.3. The Company will pay commissions for repeat purchases made by the referred customer for up to 365 days from the date of their first purchase, subject to a limit of 100 paid transactions per referred customer.
2.4. Commissions are tracked via affiliate software provided by the Company. Payouts are issued monthly, provided the Affiliate has reached the minimum payout threshold of $50 USD.
2.5. Accepted payout methods include ACH, Wire transfer, or other means agreed upon in writing.
The following activities are strictly prohibited and constitute material breaches of this Agreement:
3.1. Cookie stuffing: Automatically setting tracking cookies without a genuine click.
3.2. Fake or fraudulent activity: Including but not limited to self-referrals, fake sign-ups, repeated purchases from the same IP address, or the use of bots.
3.3. Unauthorized advertising: Bidding on the Company’s branded keywords (e.g., “Medialister”, “Medialister.com”) in Google Ads, Bing Ads, or any similar advertising networks.
3.4. Spam: Sending unsolicited email, SMS, or messaging spam in violation of the CAN-SPAM Act or other applicable laws.
3.5. Technical manipulation: Including hacking, SQL injection, or exploiting security vulnerabilities of the Medialister platform.
3.6. Traffic cloaking or misrepresentation of the traffic source.
Violation of any of the above may result in:

4.2. The Affiliate participates in the program at their own risk and is responsible for complying with all applicable federal, state, and local laws.
5.1. The Company reserves the right to amend these Terms of Use at any time. Continued participation in the program following any modifications constitutes acceptance of the updated terms.
5.2. The Company may terminate this Agreement with or without cause, by providing written notice via email.
5.3. The Affiliate may also terminate this Agreement at any time by ceasing all promotional activities and providing written notice to the Company.
6.1. This Agreement shall be governed by and construed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
6.2. Any disputes arising under or in connection with this Agreement shall be resolved exclusively in the courts located in New Castle County, Delaware.
7.1. The Affiliate is an independent contractor and nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship.
